1. Acceptance & Scope

By accessing RSID Registry, you agree to these Terms. RSID provides 7-character identifiers for securities to facilitate operational processes in custodian systems.

2. Intellectual Property & Ownership

Exclusive Rights: All RSID identifiers, schemas, algorithms, and datasets remain the exclusive intellectual property of RSID Registry. Access grants a license to use, not ownership transfer.

Trademarks: "RSID" and "Reference Security Identifier" are trademarks of RSID Registry.

3. Permitted Use

Internal Operations (Free):

  • Settlement, reconciliation, and custody operations
  • Position reference and corporate actions processing
  • Internal reporting and system integration
  • Check digit validation for operational verification

Service Provider Sharing: May share with sub-custodians, administrators, and auditors for operational purposes only, provided they agree not to redistribute.

4. Prohibited Use

Without written authorization:

  • No Redistribution: Cannot resell, license, or include RSID in commercial data feeds
  • No Derivative Works: Cannot create competing identifier systems or reverse engineer algorithms
  • No Misrepresentation: Cannot claim RSID are official exchange identifiers or suggest regulatory endorsement

5. Access & Future Pricing

Currently free for operational use. RSID Registry may introduce pricing, licensing, or access controls with 30 days notice. Redistribution requires explicit license - contact [email protected].

6. Attribution

Where practical, reference RSID Registry as identifier source in documentation and system specifications.

7. Data Quality & Updates

No Warranty: Data provided "as is" without guarantees of accuracy, completeness, timeliness, or fitness for purpose.

User Responsibility: You must validate codes, implement reconciliation controls, verify through multiple sources, and maintain your own data governance.

Updates: Registry may be updated anytime. Users responsible for obtaining current versions.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW: All services provided "AS IS" with no warranties of merchantability, fitness for purpose, or non-infringement. No guarantees regarding accuracy, reliability, security, or uninterrupted service.

9. Limitation of Liability

No Liability For: Operational losses, failed trades, settlement breaks, reconciliation errors, system integration issues, or business decisions based on RSID codes.

Maximum Liability: Greater of (a) fees paid in prior 12 months, or (b) $100 USD.

No Consequential Damages: Not liable for lost profits, revenue, data, business opportunities, or regulatory fines.

10. Indemnification

You agree to indemnify and hold harmless RSID Registry from claims arising from: your use/misuse of RSID, violation of these Terms, unauthorized redistribution, or infringement of third-party rights.

11. Usage Monitoring & Enforcement

Monitoring Rights: May track downloads, access patterns, and usage to ensure compliance.

Audit Rights: May audit commercial users with reasonable notice.

Enforcement: Violations may result in access termination, legal action, and damages claims.

12. Privacy & Data Collection

Information Collected: Name, email, organization, use case, access logs, and usage patterns.

Use: Providing access, monitoring compliance, communicating updates, improving services.

Sharing: Not sold. Only shared as required by law, to enforce Terms, or with service providers under confidentiality.

13. Modifications

Terms may be modified anytime. Material changes communicated with 30 days notice. Continued use = acceptance.

14. Termination

By User: Stop accessing, delete downloaded data.

By RSID: May terminate immediately for violations, security concerns, or any reason.

Effect: License revoked, must cease use and delete all RSID data. IP and liability provisions survive.

15. Governing Law & Disputes

Jurisdiction: Laws of England and Wales. Exclusive jurisdiction in courts of England and Wales.

Dispute Resolution: Parties agree to first attempt good faith negotiation for 30 days before litigation.

16. General Provisions

Severability: Invalid provisions modified or severed; remainder remains valid.

Entire Agreement: Supersedes all prior agreements.

No Waiver: Failure to enforce ≠ waiver of rights.

Assignment: You cannot assign; RSID may assign freely.

Force Majeure: Not liable for delays due to circumstances beyond reasonable control.
